But I figure I'll save the LAST.CMD from the good encode and compare it with the LAST.CMD from the bad encode...to see if there a difference...as I'm expecting there will be.

Try moving the x264.exe from 44.03 to 44.06 and see if it completes.

Have you tried it with the latest release (v0.44.09)? There is a newer version of X264 in that one -- and there were a lot of fixes made in the last three minor releases.
